These terms explain how you can use the Gotham Capital Partners website and investor portal (together, the "Services"). We've written them in plain language. Using the Services means you accept these terms.
The Services are for accredited and institutional investors as defined by U.S. securities laws, and for people we've invited (for example, prospective investors or advisers). You must be at least 18 years old and legally allowed to enter into a contract.
When you create an account, you agree to give us accurate information and to keep it up to date.
You're responsible for what happens under your account. Keep your password private and turn on multi-factor authentication when it's offered. If you think someone else is using your account, email us right away at support@gotham-capital.ltd.
You can request that we delete your account from the Profile page in the investor portal. Some information may need to be retained for legal and regulatory recordkeeping.
Nothing on the public website is an offer to sell securities or a solicitation to buy them. Investments are made only through separate offering documents, which contain the full terms, risks, fees, and eligibility rules. If anything in these terms conflicts with an offering document, the offering document controls.
All investments can lose value, including your entire principal. Past performance doesn't guarantee future results. Target returns, projections, and forward-looking statements are estimates — not promises. Please read every offering document carefully and speak with your own financial, tax, and legal advisers before investing.
Fees, minimums, lock-ups, and distribution schedules are set out in the offering documents for each pool. Any wallet addresses, wire instructions, or payment details shown in the portal are the only authorized channels — never send funds based on instructions received by email, phone, or messaging apps without confirming with us first.

The website, portal, logos, reports, and other materials belong to Gotham Capital Partners LLC or our licensors. You can view and print reasonable copies for your own records. You can't republish, resell, or use them for a different business without our written permission.
We rely on trusted partners for things like identity verification, custody, banking, blockchain infrastructure, and email delivery. Those partners have their own terms and privacy policies, and we aren't responsible for how they operate outside the Services.
We may update, pause, or discontinue parts of the Services at any time — for example, for maintenance, security, or regulatory reasons. We try to give notice when a change affects your account, but we can't guarantee the Services will always be available or error-free.
We work hard to keep the Services accurate and secure, but we provide them "as is." To the extent the law allows, Gotham Capital Partners LLC and its affiliates aren't liable for indirect, incidental, or consequential losses. Nothing in these terms limits any right you have that can't legally be waived.
These terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts of Ouachita Parish, Louisiana, unless a mandatory law in your location says otherwise.
If we make a material change, we'll update the effective date above and — where appropriate — notify investors by email or through the portal. Continuing to use the Services after a change means you accept the updated terms.
